SYNC Terms of Use
These Terms of Use (the “Terms”) are the agreement between you and AXIOMIC LTD about your use of the SYNC apps and service (“SYNC”).
By creating a SYNC account or using SYNC you accept these Terms and confirm that you have read the Privacy Policy. If you do not agree, do not use SYNC. This version applies to accounts created from 16 October 2026, and to earlier accounts from when they accept it in the app.
1. Who provides SYNC
SYNC is provided by AXIOMIC LTD, a company registered in the Republic of Cyprus under number HE 480260, with its registered office at Charalampou Mouskou & Grigori Afxentiou 20, Athinodorou Business Center, Floor 3, Office 306, 8010 Paphos, Cyprus (“we”, “us”).
Contact: [email protected].
2. Who can use SYNC
- You must be at least 16 years old. SYNC is not meant for anyone younger, and we close accounts that we learn belong to someone under 16.
- You must be able to enter into a binding contract, and the law that applies to you (including sanctions law) must not bar you from using SYNC.
- One account per person. Use an email address that is yours and a name that does not pretend to be someone else.
- Keep your password, your passkeys, your email account and your recovery key to yourself. You are responsible for what is done with your account; tell us at once if you think someone else has used it.
3. What SYNC is
SYNC is a messenger for iPhone and Mac: one-to-one and group chats, voice messages, photos, videos, files, and voice and video calls. People on SYNC can find you by your name, your username or your exact email address, and add you as a contact; contacts and members of the same group can message and call you.
SYNC is free. It has no in-app purchases and no advertising.
Chats are end-to-end encrypted; calls are encrypted on their way, but not yet end to end. Section 4 and the Privacy Policy explain what this means.
Without internet (Settings › Without internet, on iPhone) can pass encrypted messages between nearby phones over Bluetooth. It works only when enough phones with the setting on are close enough, and a message sent this way may arrive late or not at all.
SYNC is not a telephone service and cannot be used to call emergency services.
We may change, add or remove features. We work to keep SYNC available, but we do not promise that it will always be available, uninterrupted or free of errors, or that every message or call will be delivered.
4. Encryption and your recovery key
In an end-to-end encrypted chat, only the devices of its members can read the messages. We cannot read them, recover them or hand them over, and we cannot check them for breaches of these Terms unless someone reports them and shows them to us.
Your encrypted message history can be restored on a new device only with your recovery key or another device of yours that is still signed in. Keep the recovery key safe — the app offers to save it in iCloud Keychain, to copy it or to print it. If you lose it and all your signed-in devices, your earlier encrypted messages cannot be read again, by you or by us.
You may not use SYNC’s encryption to hide conduct that breaks these Terms or the law.
5. Zero tolerance for objectionable content and abusive users
SYNC has zero tolerance for objectionable content and abusive users. This applies to every chat, end-to-end encrypted or not. You must not use SYNC to create, send, share or store any of the following, or add people to chats to spread it:
- content that sexually exploits or endangers children, including any sexual content involving a minor;
- sexual content sent to someone who did not ask for it, and intimate images of anyone shared without their consent;
- harassment, bullying, stalking, threats or intimidation, or encouraging violence against anyone;
- hate speech: content that attacks or demeans people because of race, ethnic or national origin, religion, disability, sex, gender identity, sexual orientation, age or a similar characteristic;
- content that promotes terrorism or violent extremism, or violence shown to shock or to glorify it;
- content that encourages suicide, self-harm or eating disorders;
- other people’s private information — addresses, phone numbers, identity documents, private photos — shared without their permission;
- spam, chain messages, bulk or automated messages, scams, phishing, or links to malware;
- impersonation of a person or an organisation, or misleading others about who you are;
- offers or sales of illegal goods or services, such as drugs, weapons or stolen data;
- content that infringes someone else’s copyright, trademark or other rights;
- anything else that is illegal where you or the people you send it to are.
You must also not: try to get into accounts, chats, keys or data that are not yours; interfere with SYNC or overload it; use bots, scrapers or automated accounts; reverse-engineer the app except where the law allows it; or use SYNC to get around a suspension.
Breaking these rules leads to removal of the content and, depending on how serious it is, a warning, a suspension or the permanent closure of the account. Sexual content involving minors, credible threats of violence and terrorist content close the account at once, and we report them to the competent authorities.
6. Reporting, blocking and moderation
- Report a message: touch and hold the message (on a Mac, Control-click it) and choose Report.
- Report or block a person: in a one-to-one chat, open the chat’s info and choose Report or Block; in a group, open its members and choose the member. You can also decline an invitation and block its sender. Once you block someone, you no longer see their messages or get their calls, and they cannot start a conversation with you.
- By email: write to [email protected] with the account’s name, the chat, the date and time and, if you can, a screenshot. Anyone, with or without a SYNC account, can tell us about illegal content this way. This address is also our point of contact under the EU Digital Services Act, in English or Russian.
We cannot read end-to-end encrypted messages, so when you report one, describe what is wrong in the reason you type, or send us a screenshot by email.
Automatic filter: our servers automatically check what they can read — names you sign up with or take in a chat, group names and descriptions, and the messages, file names and reactions in chats that are not end-to-end encrypted — against a list of slurs, threats and terms linked to the sexual exploitation of children. What matches is refused: the message is not sent, or the name is not set. End-to-end encrypted messages cannot be checked. No person reads anything for this check. If you think something was refused by mistake, write to [email protected].
Our moderators review every report within 24 hours. When content breaks these Terms or the law, we remove what we can and act against the account that posted it: a warning, a suspension or closure. We may also act on our own when we learn of a violation.
When we remove your content or suspend your account, we email you what we did and why, unless the law or someone’s safety prevents it. If you think we got it wrong, write to [email protected] within 6 months; someone who was not involved in the first decision reviews it.
7. Your content
What you send stays yours. You give us a worldwide, non-exclusive, royalty-free licence to store, copy, transmit and display it — in encrypted form, when it is end-to-end encrypted — only as needed to deliver it to the people you send it to and to run SYNC. The licence ends when the content is deleted from our servers.
We do not use your messages, voice messages or media for advertising or to train artificial intelligence models.
You are responsible for what you send and must have the right to share it. The people you write to can save, forward or screenshot what you send; deleting a message removes it from SYNC, not from copies others have made.
8. Features that run on your device
Turning voice messages into text, searching your messages, and the optional assistant (Settings › Assistant and privacy) run on your device, with models SYNC includes or that you download when you ask for them. What they produce — transcripts, search results, follow-ups, tasks and answers — is made automatically, can be incomplete or wrong, and is not advice. Check anything important against the original messages.
The people you send voice messages to can turn them into text on their own devices. If you do not want that, send a text message instead.
The downloadable models come from Hugging Face and are made by third parties under their own licences, which the app lists under Settings › Help & legal › Acknowledgements. Downloading them uses your data plan unless you are on Wi-Fi, and needs free space on your device.
9. Suspension and closure
We may suspend or close your account, without notice where necessary, if you break these Terms or the law, if you are under 16, if your account puts other people or SYNC at risk, or if the law requires it. Where we can, we tell you why (see Reporting, blocking and moderation).
We may also stop offering SYNC. We will tell you at least 30 days before, in the app or by email, unless legal or security reasons force us to stop sooner.
10. Deleting your account
You can delete your account at any time in the app: Settings › Account › Delete account, confirmed with your password or with a code we email you.
Deletion takes effect at once: you can no longer sign in, you are signed out on every device, your contacts, invitations and notification registrations are removed, and chats show you as “Deleted account”. Then, normally within minutes and at the latest within 30 days, the messages you sent are removed from every chat and the files you uploaded are deleted from our servers and storage. Your email address becomes free, so you can sign up again later with a new account.
A deleted account, and its encrypted history, cannot be restored. What we keep after a deletion, and why, is in the Privacy Policy.
11. No warranty
SYNC is provided “as is” and “as available”. As far as the law allows, we give no warranties, express or implied, including of merchantability, fitness for a particular purpose and non-infringement.
Nothing in these Terms takes away rights you have as a consumer that a contract cannot exclude.
12. Limitation of liability
As far as the law allows, we are not liable for indirect or consequential loss, for loss of data or profits (including encrypted messages that cannot be restored because the recovery key and all signed-in devices were lost), for what other users send, or for decisions made on the strength of what the on-device features produce. Because SYNC is free, our total liability to you for all claims is limited to EUR 100.
We do not limit our liability for death or personal injury caused by our negligence, for fraud, for intent or gross negligence, or where the law does not allow a limit.
13. If you got SYNC from the App Store
- These Terms are between you and AXIOMIC LTD only, not Apple. We, not Apple, are solely responsible for SYNC and its content.
- Your licence to the app is a non-transferable licence to use it on Apple-branded products that you own or control, as the Usage Rules of Apple’s Media Services Terms and Conditions permit.
- Apple has no obligation to provide maintenance or support for SYNC; we provide support (see Support).
- If SYNC fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any (SYNC is free). As far as the law allows, Apple has no other warranty obligation for SYNC.
- We, not Apple, are responsible for addressing any claims by you or a third party relating to SYNC or your possession and use of it, including product liability claims, claims that SYNC fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If a third party claims that SYNC or your possession and use of it infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling and discharging that claim.
- You confirm that you are not in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with the third-party terms that apply when you use SYNC, such as those of your mobile network or Wi-Fi provider.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them, Apple has the right to enforce them against you as a third-party beneficiary.
14. SYNC for Mac
SYNC for Mac is downloaded from our website. We grant you a personal, non-transferable licence to install it on Macs you own or control and to use it under these Terms. It checks our website for updates and installs one only when you agree.
15. Changes to these Terms
We may update these Terms, for example when SYNC changes or the law requires it. The version and date are at the top of this page, and earlier versions stay available from the link there. When we change them, the app asks you to accept the new version before you go on; if you do not agree, you can delete your account. A change that is to your disadvantage takes effect no earlier than 14 days after we tell you about it in the app, unless the law, security or the safety of others requires it sooner.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction. If you are a consumer living in another EU country, you keep the protection of that country’s mandatory law and may also bring a claim in its courts.
Please contact us first: most problems can be solved by email. If a part of these Terms is found invalid, the rest remains in force.
